EQC Client Service Agreement
1. Parties and Definitions
This Client Service Agreement ("Agreement") is between Equilibrium Consulting LLCÂ Â
(shorthand "EQC"), a Tennessee limited liability company doing business at the url "The Realtor's Handyman" www.therealtorshandyman.com, and the client identified in the signature block ("Client"). It governs every Assessment and every item of Make-Ready Work, Turn Over work, Inspection Response work, and direct to owner work that EQC performs for Client, whether ordered now or later.

1.1 Structure. This is a master agreement. Each engagement is authorized by a Quote. The Quote states the Property, the scope of work, the price, and the schedule; this Agreement supplies every other term. If a Quote and this Agreement conflict, this Agreement controls unless the Quote expressly overrides a numbered section of this Agreement by reference.

1.2 Definitions.
-
"Assessment" means the EQC Assessment products described in Section 3, including the Assessment Report.
-
"Assessment Report" means the written, client-facing deliverable of an Assessment, with photographs, recommendations, and prioritization.
-
"Client" means the person or entity that signs this Agreement or accepts a Quote. Where Client is a real estate licensee, property manager, or other agent, Client is the contracting party and not the Owner, unless the Owner also signs.
-
"Owner" means the record owner of the Property.
-
"Project Cap" means the maximum total price of any single Work engagement, stated in Exhibit A.
-
"Property" means the residential property identified in a Quote.
-
"Quote" means a written quote, estimate, or work order issued by EQC, including through EQC's field-service software, and accepted by Client.
-
"Services" means the Assessment and the Work, together.
-
"Work" means the handyman, repair, maintenance, and make-ready, turn over, or response services described in a Quote. Work does not include the Assessment.

1.3 Authority and payment responsibility. Client represents that it has the Owner's authorization to order the Services, to give EQC access to the Property, and to approve the Work. Client is responsible for payment unless the Quote names the Owner as the paying party and the Owner signs that Quote. Client's obligations under this Agreement do not depend on whether Client is reimbursed by the Owner or by any transaction.

2. Services and Engagements
2.1 Ordering. Client orders Services by accepting a Quote. Acceptance may be by signature, electronic signature, written or email confirmation, or approval in EQC's field-service software. Each accepted Quote incorporates this Agreement.

2.2 Scope is the Quote. EQC performs only the scope stated in the accepted Quote. Anything not listed is excluded. Requests made on site, by phone, or by text are not part of the scope until documented in a Change Order under Section 4.3.

2.3 EQC may decline. EQC may decline any request, before or after acceptance of a Quote, that requires a license EQC does not hold, exceeds the Project Cap, presents a safety hazard, falls outside EQC's service area, or that EQC otherwise deems outside its capabilities. If EQC declines after acceptance, Client pays only for Services already performed.

2.4 Assessment and Work are separate. An Assessment does not obligate Client to order Work, and ordering Work does not require an Assessment. Where an Assessment recommends Work, EQC issues a separate Quote for it. Client is free to use any contractor for recommended items.

2.5 No exclusivity. Nothing in this Agreement obligates Client to order any minimum volume of Services or obligates EQC to reserve capacity for Client.
3. Make Ready Assessment & ALL other EQC Assessment Products
3.1 Nature and purpose. An Assessment is a visual, non-invasive walkthrough of the readily accessible areas of the Property on the date of the visit. Its purpose is to identify, photograph, and prioritize repair, maintenance, and cosmetic items relevant to preparing the Property for listing, sale, lease, or occupancy. It is a work-planning tool. It is not an opinion on the overall condition, safety, habitability, or value of the Property or any of its systems.

3.2 Not a home inspection. EQC is not a licensed home inspector. The Assessment and the Assessment Report are not a home inspection or home inspection report as those terms are defined in the Tennessee Home Inspector License Act of 2005 (T.C.A. § 62-6-301 et seq.), and are not a substitute for one. Any party evaluating the Property for purchase, lease, or financing should obtain a home inspection from a Tennessee-licensed home inspector. The Assessment is also not a code-compliance inspection, an appraisal, a survey, or an engineering, architectural, structural, environmental, lead, mold, radon, pest, or hazardous-materials evaluation, and EQC does not hold licenses to provide those services.

3.3 Method and limits. EQC does not dismantle, test, or operate any system or component beyond ordinary user controls. Concealed, latent, intermittent, and seasonal conditions are outside the scope of an Assessment. The Assessment Report reflects conditions observed on the date of the visit only. An item not mentioned in the Assessment Report has not been reviewed or cleared. If utilities are off or areas are inaccessible, the Assessment Report will say so and those areas are excluded. EQC does not go on roof tops, enter attics, or crawl spaces.

3.4 Deliverable. EQC delivers the Assessment Report electronically within three (3) business days after the visit unless the Quote states otherwise. The Assessment Report includes photographs, recommended items, and EQC's prioritization. Video and expedited
turnaround, are offered upgrades when available.

3.5 Intellectual property. EQC owns the Assessment Report, its photographs, video footage, its format, and the underlying methodology, forms, and protocol, which are proprietary to EQC and are not delivered. Client receives a non-exclusive, non-transferable license to use the Assessment Report for the make-ready, turn-over, marketing, leasing, or sale of the Property. Client may not remove EQC's name, the Assessment Notice, or any page of the Assessment Report before sharing it.

3.6 Reliance. The Assessment Report is prepared solely for Client and for the purpose in Section 3.1. No other person may rely on it, including any buyer, seller, tenant, lender, or insurer, and EQC assumes no duty to any such person. Client will not describe or present the Assessment Report as a home inspection or as evidence of the condition of the Property. If Client shares the Assessment Report with anyone, Client will share it in full with Exhibit B attached, and Client bears responsibility for that sharing under Section 9.4.

3.7 Estimates in the Assessment Report. Any cost figures in an Assessment Report are preliminary planning estimates only. They are not a Quote, bid, or offer to perform Work. Work is quoted separately under Section 2.1.

3.8 Transaction Risk notations. Where an Assessment Report flags an item as a transaction risk, the notation reflects EQC's judgment about which items are most likely to affect a listing, negotiation, or closing timeline. It is not a prediction of what a buyer, inspector, appraiser, or lender will find or require.

4. Make-Ready Work
4.1 Standard of performance. EQC performs Work in a workmanlike manner consistent with accepted practice for residential handyman and make-ready services. Materials are new and of the grade stated in the Quote unless the Quote says otherwise. EQC selects means and methods.

4.2 Excluded work. EQC does not perform, and no Quote includes, the following unless Exhibit A expressly permits it:
-
Electrical, plumbing, HVAC, gas, roofing, masonry, tile, carpet, or structural work, or any other work that requires a trade or contractor license EQC does not hold, except the limited tasks listed in Exhibit A.
-
Work that requires a building, trade, or other permit.
-
Work that disturbs painted surfaces in housing built before 1978 beyond the de minimis limits of the EPA Renovation, Repair and Painting Rule, unless Exhibit A states that EQC holds RRP certification.
-
Testing for, or removal or abatement of, mold, asbestos, lead-based paint, pests, or biohazards.
-
Any single Work engagement whose total price would equal or exceed the Project Cap.

4.3 Change Orders. Work added, changed, or removed after a Quote is accepted requires a Change Order. A Change Order may be documented by signature, email, text message, or approval in EQC's field-service software, and must be approved before the changed work begins. Change Orders are priced per Exhibit A unless the Change Order states a price. Work performed at Client's direction without a Change Order is billed at Exhibit A rates. Change Orders must not cause the overall project scope to exceed the Project Cap.

4.4 Permits. EQC does not obtain permits and does not perform permit-required work. If EQC determines during Work that a permit is required, EQC stops that portion of the Work, notifies Client, and bills for work performed to that point.

4.5 Project Cap. EQC does not undertake any single Work engagement with a total price, including materials, at or above the Project Cap in Exhibit A. EQC does not divide one project into multiple Quotes to stay below the Project Cap. Where Client's needs exceed the Project Cap, EQC may refer Client to a licensed contractor under Section 4.6.

4.6 Referrals. EQC may, in a Make Ready pro Assessment, identify licensed contractors or trades for items outside EQC's scope. EQC is not a general contractor and does not supervise, warrant, or accept responsibility for any third party's work. EQC discloses any referral fee it receives in writing before the referral.

4.7 Client-supplied materials. Client may supply materials for Work. EQC does not warrant Client-supplied materials, is not responsible for their fit or suitability, and bills at Exhibit A rates for time spent handling, returning, or reworking around them.

4.8 Completion and acceptance. EQC notifies Client when Work is complete. Client will review the Work and report any deficiency within three (3) business days. EQC corrects deficiencies within the scope of the Quote at no charge. Work is deemed accepted when Client fails to report a deficiency within that period, or when Client or the Owner occupies, lists, leases, or closes on the Property, whichever comes first.
5. Pricing and Payment
5.1 Prices. Prices are as stated in the Quote. Where a Quote is priced on Service Rate and materials, or where Work is performed without a Quote under Section 4.3, EQC bills at the rates in Exhibit A. EQC may revise Exhibit A on thirty (30) days' written notice; revisions do not affect Quotes already accepted.

5.2 Minimums and surcharges. Each site visit is subject to the trip minimum in Exhibit A. Same-day service, after-hours service, Sunday service, and holiday service carry the surcharges in Exhibit A. Surcharges apply to service only unless Exhibit A states otherwise.

5.3 Materials. Materials are billed as stated in the Quote. Where the Quote does not state a materials price, materials are billed per Exhibit A. EQC may require a materials deposit before ordering special-order or non-returnable items; the deposit is non-refundable once the order is placed.

5.4 Assessment fee. The Assessment fee in Exhibit A or the Quote is due up scheduling of the Assessment. Where Client orders Work recommended in the Assessment Report within 30 days, EQC credits the Assessment fee against that Work so long as the Quote value meets the minimum threshold associated to the type of Assessment product ordered.

5.5 Invoicing and payment. EQC invoices the remaining balance due on completion of each engagement (50% + any additional accrued costs), or at milestones stated in the Quote. Payment is due upon receipt. EQC accepts the payment methods listed in Exhibit A. Card payments carry the processing fee stated in Exhibit A.

5.6 Late payment. Amounts unpaid ten (10) days after the invoice date accrue a late charge of 10% per month, the maximum rate permitted by Tennessee law. EQC may suspend Services, decline new Quotes, and withhold delivery of an Assessment Report while any amount is past due. Client pays EQC's reasonable costs of collection, including attorney's fees, on any amount referred for collection.

5.7 Disputed charges. Client must notify EQC in writing of any disputed charge within ten (10) days of the invoice date, stating the reason. Undisputed portions remain due on the original terms. Charges not disputed within that period are deemed accepted.

5.8 Taxes. Prices exclude sales and use taxes. Where Tennessee law requires EQC to collect tax on any part of the Services, the tax is added to the invoice.

5.9 Lien rights. Nothing in this Agreement waives any lien right EQC may have under Tennessee law for unpaid Work.
6.1 Scheduling. EQC schedules Services in arrival windows. Windows and completion dates are good-faith estimates, not guarantees. EQC is not liable for delay caused by weather, supplier delays, access problems, concealed conditions, or events outside its reasonable control.

6.2 Access. Client provides access at the scheduled time by being present, by key, or by lockbox or smart-lock code. Client authorizes EQC to enter the Property by those means for the scheduled Services. EQC uses ordinary care with keys and codes and returns or deletes them when the engagement ends. Client provides any alarm code and pet information before the visit. Pets will be secured or otherwise without access to EQC assocates for the duration of EQC's site presence.

6.3 Occupied properties. Where the Property is occupied, Client is responsible for giving any notice to occupants that Tennessee law or the lease requires, and for obtaining the occupant's cooperation. EQC may leave without performing Services if an occupant refuses entry or the conditions are unsafe, and the visit is billed as a no-access visit under Section 6.5.

6.4 Utilities and site conditions. Water and electricity must be on and the work area reasonably clear. If utilities are off, EQC may perform the Services with noted limitations, or reschedule and bill the trip minimum. Client secures pets, removes valuables from the work area, and identifies any known hazards before the visit.

6.5 Cancellation and no-access. Client may cancel or reschedule a visit without charge on at least twenty-four (24) hours' notice. Cancellations on shorter notice, and visits where EQC cannot gain access or cannot safely work, are billed at the trip minimum in Exhibit A plus the cost of any special-order materials already purchased.

6.6 EQC cancellation. EQC may cancel or reschedule for weather, illness, family emergency, or unsafe conditions, and will give Client as much notice as practical. EQC's only obligation on such a cancellation is to reschedule.

6.7 Force majeure. Neither party is liable for failure to perform, other than payment, caused by events beyond its reasonable control, including severe weather, natural disaster, epidemic/pandemic, utility failure, war, act of terror, or government order.
6. Scheduling, Access, and Cancellation
7. Property Conditions and Hazardous Materials
7.1 Pre-existing conditions. EQC is not responsible for conditions that existed before the Services began. EQC may photograph and video the work area before, during, and after Work to document its condition.

7.2 Concealed conditions. If EQC discovers a concealed condition during Work, such as rot, water damage, pests, mold, or deficient wiring or plumbing, EQC stops the affected portion of the Work, notifies Client, and proposes a Change Order. Time spent discovering and documenting the condition is billable at Exhibit A rates. EQC is not obligated to correct a concealed condition that falls under Section 4.2.

7.3 Hazardous materials. EQC does not test for, disturb, remove, or abate asbestos, lead-based paint, mold, pests, or biohazards. If EQC suspects any of these, EQC may stop the affected Work and bill for work performed. Client is responsible for testing and abatement by qualified firms before EQC resumes.

7.4 Client disclosures. Before each engagement, Client discloses any known hazard at the Property, any known presence of lead-based paint or asbestos, mold, pests, or biohazards, the year the Property was built if before 1978, any active leak or electrical fault, and any prior repair that affects the Work. Client's failure to disclose is a matter for Section 9.4.

7.5 Incidental damage to aged components. Some Work involves inherent risk to aged or brittle materials, such as stuck fasteners, corroded plumbing connections, old tile and grout, and fixtures near end of life. Where EQC uses reasonable care, EQC is not liable for breakage of such components that occurs as an ordinary incident of the ordered Work. EQC will notify Client and propose a Change Order for repair.

7.6 Personal property. Client removes or protects personal property in and near the work area. EQC is not responsible for damage to items that were not removed or protected after notice of the scheduled Work.
8.1 Workmanship warranty. EQC warrants that Work will be free from defects in workmanship for the warranty period stated in Exhibit A, measured from completion. Client must notify EQC in writing within the warranty period. EQC's sole obligation, and Client's sole remedy, is for EQC to repair or redo the defective Work at no charge, or, at EQC's election, to refund the labor charged for that item.

8.2 Materials. EQC passes through any manufacturer's warranty on materials EQC supplies. EQC makes no separate warranty on materials. Client-supplied materials carry no warranty from EQC.

8.3 Exclusions. The workmanship warranty does not cover: normal wear; misuse, neglect, or accident; work by others after completion; water intrusion, settlement, or movement of the structure; pre-existing conditions; concealed conditions; repairs the Quote or invoice identifies as temporary or cosmetic; and any item excluded under Section 4.2.

8.4 No warranty on the Assessment. The Assessment is a professional service delivered as-is. EQC does not warrant that an Assessment identifies every condition at the Property, that items not listed in the Assessment Report are free of defects, or that any estimate, prioritization, or transaction-risk notation will prove accurate.

8.5 Disclaimer. EXCEPT AS STATED IN THIS SECTION 8, EQC MAKES NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, AND DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR HABITABILITY, TO THE FULLEST EXTENT PERMITTED BY TENNESSEE LAW.
8. Warranty
9.1 Cap. EQC'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO ANY ENGAGEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, IS LIMITED TO THE AMOUNT CLIENT PAID EQC FOR THAT ENGAGEMENT. FOR AN ASSESSMENT, THAT AMOUNT IS THE ASSESSMENT FEE.

9.2 Excluded damages. EQC IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST RENT, LOST COMMISSIONS, DELAYED OR FAILED CLOSING, DIMINISHED PROPERTY VALUE, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

9.3 Claims period. Client must give EQC written notice of any claim within thirty (30) days after Client discovers or should have discovered the basis for it and must bring any action within one (1) year after the Services giving rise to the claim were performed, or the claim is waived.

9.4 Client indemnification. Client will defend, indemnify, and hold harmless EQC and its members, employees, and agents from any third-party claim, loss, or expense, including reasonable attorney's fees, arising from: (a) any person's reliance on an Assessment Report, or Client's sharing or characterization of it, contrary to Section 3.6; (b) Client's lack of authority under Section 1.3; (c) any hazard or condition Client failed to disclose under Section 7.4; or (d) Client's or the Owner's breach of any lease, law, or occupant's rights in connection with the Services.

9.5 EQC indemnification. EQC will indemnify Client against third-party claims for bodily injury or damage to tangible property to the extent caused by EQC's negligence in performing Work, up to the limits of EQC's insurance under Section 10.1.

9.6 Scope. This Section 9 applies to the fullest extent permitted by Tennessee law and survives completion of the Services and termination of this Agreement. Nothing in this Section limits liability that cannot be limited by law.
9. Limitation of Liability and Indemnification
10. Insurance, Status, Photographs, and Confidentiality
10.1 Insurance. EQC maintains commercial general liability insurance with limits of not less than $1,000,000 per occurrence and aggregate and provides a certificate of insurance on request. EQC's liability to Client is not increased by the existence or limits of any policy.

10.2 Bond. EQC maintainssurety bond with limits of not less than $10,000 and provides a certificate of bond on request.

10.3 Independent contractor. EQC, Equilibrium Consulting LLC, is an independent contractor. EQC controls the means, methods, and hours of its Services. Nothing in this Agreement creates an employment, partnership, joint-venture, or agency relationship, and EQC is not authorized to bind Client or the Owner.

10.4 Photographs & Videography. EQC photographs and videos the Property in the course of the Services. EQC may use photographs or video of Work performed in its marketing, portfolio, and training materials, without the Property address, the Owner's or Client's name, or any other identifying information. Client may opt out by written notice at any time, and EQC will stop future use of that Property's photographs & video footage. Photographs & Video in an Assessment Report are governed by Section 3.5.

10.5 Confidentiality. EQC keeps confidential any access codes, keys, occupant information, transaction details, and Client business information it receives, and discloses them only to perform the Services or as required by law. EQC does not share an Assessment Report with anyone other than Client without Client's written consent, except as required by law.

10.6 Client's brand and listings. Client may state that EQC performed make-ready work, turn over work, or an Assessment on a Property. Client may not use EQC's name, marks, or the Assessment Report in any way that implies EQC inspected, certified, or warranted the condition of the Property.
11. Governing Law and Disputes
11.1 Governing law. This Agreement is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules.

11.2 Negotiation first. Before filing any action, a party will give the other written notice of the dispute, and the parties will confer in good faith within fifteen (15) days to resolve it.

11.3 Mediation. If the dispute is not resolved by negotiation, either party may require non-binding mediation in Robertson County, Tennessee, with a mediator the parties select together, costs split equally, before filing suit. This Section 11.3 does not apply to a claim for unpaid invoices or to an action in General Sessions Court.

11.4 Venue. Any action arising out of this Agreement is brought exclusively in the state courts sitting in Robertson County, Tennessee, and each party consents to that jurisdiction and venue. Claims within the jurisdictional limit of the Robertson County General Sessions Court may be brought there.

11.5 Attorney's fees. The prevailing party in any action to enforce this Agreement recovers its reasonable attorney's fees and costs from the other party.

11.6 Jury waiver. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY ACTION ARISING OUT OF OR RELATED TO THIS AGREEMENT, TO THE EXTENT PERMITTED BY TENNESSEE LAW.
12. Term, Termination, and General Provisions
12.1 Term. This Agreement takes effect on the date it is signed or the date of the first accepted Quote, whichever is earlier, and continues until either party terminates it on written notice. Termination does not affect a Quote already accepted, which is completed or cancelled under Section 12.2.

12.2 Cancelling an engagement. Client may cancel Work before it begins, subject to Section 6.5 and the cost of any special-order materials. After Work begins, Client may stop it on written notice and pays for Work performed, materials purchased, and any demobilization time at Exhibit A rates. EQC may stop Work and terminate an engagement on notice for non-payment, unsafe conditions, abusive conduct toward EQC personnel, discovery that a license or permit is required, or Client's breach of this Agreement.

12.3 Notices. Notices are in writing and sent by email to the addresses in the signature block, or by mail to the addresses there. Email notice is effective when sent during business hours; otherwise the next business day. Routine scheduling and Change Order communications may be by text message or through EQC's field-service software.

12.4 Entire agreement and precedence. This Agreement, Exhibits A and B, and each accepted Quote are the entire agreement between the parties for the Services and replace any prior proposal or understanding. Terms on Client's purchase order, vendor form, or portal are rejected and do not apply. Amendments must be in writing and signed or accepted electronically by both parties.

12.5 Severability and waiver. If any provision is unenforceable, the rest of this Agreement remains in effect and the provision is enforced to the fullest extent permitted. A party's failure to enforce any provision is not a waiver of it.

12.6 Assignment. Client may not assign this Agreement or any Quote without EQC's written consent. EQC may assign this Agreement to a successor to its business. EQC does not subcontract licensed-trade work; referrals are governed by Section 4.6.

This is not a home inspection. Equilibrium Consulting LLC ("EQC") is not a licensed home inspector, and this document is not a home inspection or home inspection report as those terms are defined in the Tennessee Home Inspector License Act of 2005 (T.C.A. § 62-6-301 et seq.). It is not a substitute for one. Any party evaluating this property for purchase, lease, or financing should obtain a home inspection from a Tennessee-licensed home inspector.

What this is. This report documents a visual, non-invasive walkthrough of the readily accessible areas of the property on the date shown, performed at the request of the Client named above, to identify, photograph, and prioritize repair, maintenance, and cosmetic items relevant to preparing the property for listing, sale, lease, or occupancy. It is a work-planning tool. It is not an opinion on the overall condition, safety, habitability, or value of the property or any of its systems.

What this is not. This report is not a code-compliance inspection, an appraisal, a survey, or an engineering, architectural, structural, environmental, mold, radon, pest, or hazardous-materials evaluation, and EQC does not hold licenses to provide those services. No system or component was dismantled, tested, or operated beyond ordinary user controls. Concealed, latent, intermittent, and seasonal conditions are outside the scope of this assessment. Conditions may change after the date of the walkthrough. Questions about code requirements should be directed to the building official having jurisdiction.

Estimates. Any cost figures in this report are preliminary planning estimates only. They are not a bid, quote, or offer to perform work. Work performed by EQC is quoted separately under EQC's Client Service Agreement.

Reliance. This report was prepared solely for the Client named above and for the purpose described. It may not be relied upon by any other person, including any buyer, seller, tenant, lender, or insurer, and EQC assumes no duty to any such person. Sharing this report with a third party does not create a right of reliance. The Client's use of this report is subject to EQC's Client Service Agreement, including its limitation of liability; EQC's total liability arising from this assessment is limited to the fee paid for it.

Transaction Risk notations. Where an item is flagged as a transaction risk, the notation reflects EQC's judgment about which items are most likely to affect a listing, negotiation, or closing timeline. It is not a prediction of what a buyer, inspector, appraiser, or lender will find or require.
